Terms of Use

Effective Date: November 01, 2025

1. Introduction

These Terms of Use (“Terms”) govern access to and use of the LaPortaCare website, applications, dashboards, and related technology services (“Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

2. Purpose of the Services

LaPortaCare provides a secure, FHIR-native, Azure-powered care coordination, interoperability, and transitions-of-care platform supporting hospitals, skilled nursing facilities (SNFs), post-acute providers, managed care organizations, and community-based partners.

The Services support:

  • Care transitions and post-acute workflows
  • Non-clinical navigation services (CHWs, care coordinators, care navigators)
  • Cross-continuum communication
  • DxF-aligned and CMS-aligned data exchange
  • Secure multi-stakeholder collaboration

LaPortaCare is not a medical provider and does not offer medical advice. Users must not rely on the Services to diagnose, treat, or make clinical decisions.

3. Regulatory Alignment (Support, Not Certification)

LaPortaCare is engineered to support compliance with federal and state interoperability requirements. LaPortaCare does not guarantee that use of the Services alone fulfills your organization’s regulatory obligations.

Regulatory frameworks supported include:

California Data Exchange Framework (DxF)

  • Support for secure, timely, DxF-aligned health information exchange across hospitals, SNFs, home health, behavioral health, payers, and CBOs.

CMS Interoperability & Prior Authorization Rules

  • FHIR-based APIs
  • Payer and provider API connectivity
  • Payer-to-payer exchange (when applicable)
  • Patient Access APIs
  • Prior Authorization API routing
  • Real-time encounter/document exchange

CMS CoP — ADT Event Notifications

  • Supports transitions-of-care workflows for hospitals required to send ADT alerts to downstream care partners.

ONC 21st Century Cures Act / Information Blocking

  • FHIR R4+
  • USCDI-aligned data payloads
  • Permissible information sharing

Organizations remain responsible for meeting all regulatory requirements applicable to them.

4. Permitted Use

Users agree to:

  • Use the Services only for authorized healthcare purposes
  • Maintain the confidentiality of account credentials
  • Submit only accurate, lawful, and permitted data
  • Comply with HIPAA, HITECH, CMS, ONC, DxF, and applicable laws
  • Follow organizational policies and contractual obligations

You may not:

  • Attempt unauthorized access
  • Interfere with platform performance or security
  • Upload malicious code or bypass security controls
  • Misuse routing, interoperability, or workflow functions
  • Use the Services for unlawful or competitive purposes

LaPortaCare may suspend or terminate access for violations.

5. Geographic Availability & Data Residency

  • The platform is designed for authorized users in the U.S. and North America.
  • All PHI and PII are stored exclusively within Microsoft Azure U.S. regions.
  • LaPortaCare does not transfer PHI outside the United States.
  • HIPAA-aligned administrative, technical, and physical safeguards are applied.
  • Access may be restricted from certain foreign locations for security reasons.

6. Intellectual Property Rights

All content, workflows, diagrams, architecture, UI/UX, terminology, visuals, data models, and proprietary methods (“LaPortaCare Materials”) are the exclusive intellectual property of LaPortaCare, Inc.

You are strictly prohibited from any use that is:

  • Identical
  • Substantially similar
  • Confusingly similar
  • Derived, inspired by, or reminiscent of LaPortaCare materials
  • Functionally comparable
  • Look-alike, sound-alike, or feel-alike

Copying or Imitating

  • Recreating workflows, UI/UX, logic, diagrams, or designs

Derivative Use (Manual or AI)

  • Paraphrasing or generating derived versions with AI tools
  • Mirroring style, terminology, or presentation

Reverse Engineering or Extraction

  • Scraping, harvesting, data mining, or extracting processes
  • Reverse engineering workflows, routing, APIs, or logic

Competitive Use

  • Benchmarking
  • Competitive comparison or mimicry

Violations may result in:

  • DMCA takedowns
  • Cease and Desist orders
  • Infringing content removal
  • Access suspension
  • Civil damages and statutory penalties
  • Injunctive relief

7. Third-Party Systems & Integrations

LaPortaCare may integrate with systems such as Azure, PointClickCare, Netsmart, MatrixCare, and others.

LaPortaCare does NOT:

  • Endorse or control third-party systems
  • Guarantee their availability or performance
  • Accept responsibility for third-party outages or data errors

Use of third-party systems is governed by their terms.

8. Privacy & Security

Your use of the Services is governed by the LaPortaCare Privacy Policy.

LaPortaCare employs:

  • Zero-trust security design
  • RBAC
  • MFA and SSO
  • Encryption in transit and at rest
  • Immutable audit logging
  • SOC 2–aligned practices
  • HIPAA-aligned safeguards

No system can guarantee absolute security.

9. No Medical Advice

LaPortaCare is not a medical provider.

The Services do not:

  • Diagnose medical conditions
  • Provide clinical recommendations
  • Replace licensed clinical judgment

10. Service Availability

Downtime may occur due to:

  • Maintenance
  • Security patches
  • Infrastructure updates
  • Cloud provider or third-party outages

LaPortaCare is not liable for delays or interruptions.

11. Limitation of Liability

To the maximum extent permitted by law:

  • LaPortaCare is not liable for indirect, incidental, or consequential damages
  • LaPortaCare is not responsible for user errors or third-party failures
  • Your sole remedy is to discontinue use

12. Indemnification

You agree to indemnify LaPortaCare for claims arising from:

  • Your organization’s regulatory noncompliance
  • Misuse of the Services
  • Unauthorized access caused by users
  • IP violations caused by your conduct or materials

13. Modifications to Terms

LaPortaCare may update these Terms periodically. The “Effective Date” reflects the latest version. Continued use constitutes acceptance.
